Effective date: August 14, 2026 Provider: Orion Network LLC ("Orion", "we", "us", "our") Service: Orion Nova, the land and property management platform at orion-nova.io (the "Service")
1. Agreement to these Terms
These Terms of Service (the "Terms") govern your access to and use of the Service. Nova is a private, subscription platform provided by Orion to organizations in the oil and gas and land-services industries ("Customers"), and to the personnel, contractors, and clients those Customers authorize. There is no public sign-up.
By accessing or using the Service, including by signing in, you agree to these Terms and to the Privacy Policy. If you do not agree, do not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" includes that organization.
2. Relationship to your organization's agreement
Nova is licensed to your organization under a separate written agreement between Orion and that organization (a "Subscription Agreement"), which may include a data processing agreement and a service level agreement. Where a Subscription Agreement conflicts with these Terms, the Subscription Agreement controls to the extent of the conflict, and these Terms apply to everything it does not address.
These Terms govern your individual use of the Service. They do not create commercial rights — pricing, term, service levels, and support commitments live in the Subscription Agreement.
3. Accounts, roles, and access
Your organization controls who gets in. Accounts are created by Orion or by an administrator at your organization. Each account is assigned an organization, a role, and a scope of projects and clients. You may use the Service only within the role and scope assigned to your account.
- One account per person. Do not share your account, password, or invitation link. You are responsible for all activity under your account.
- Keep credentials secure. Choose a strong password and protect it. Notify Orion immediately at hunterbsell@orn-net.com if you suspect unauthorized use of your account or any security breach.
- No boundary testing. You must not access, or attempt to access, any organization, client, project, tract, record, or report that has not been made available to your account.
- Accuracy. Provide accurate account information and keep it current.
- Orion may suspend, restrict, or revoke access to any account at any time to protect the security or integrity of the Service or the confidentiality of the data it contains, and will notify your organization's administrator when it does.
4. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms. A violation of that policy is a violation of these Terms.
5. The data and the reports
Nova presents land, ownership, mapping, leasing, brokerage, financial, crew, and project-progress information drawn from your organization's records, from data your organization uploads or connects, and from third-party sources including Esri/ArcGIS mapping services and any ArcGIS Server or other system your organization elects to connect.
No warranty of accuracy; not professional advice. Content in the Service is provided for informational and operational purposes only. It may be incomplete, in progress, or subject to revision. It is not a title opinion, an abstract, a survey, a division order, or legal, tax, financial, or investment advice. Ownership, interest fractions, net and gross acreage, tract status, title status, lease terms, and financial figures are working figures maintained by your organization, and must be independently verified before you rely on them for any transaction, filing, payment, or decision. Nothing in the Service creates a professional or fiduciary relationship between you and Orion.
Mapping and geospatial content. Map layers, imagery, parcel geometry, and boundary depictions are approximations for operational reference. They are not survey products and do not establish legal boundaries.
Your organization's data is your organization's. Orion does not verify, curate, or take responsibility for the accuracy of Customer Data.
6. Confidentiality
The Service and its contents — including land and ownership records, owner and interested-party information, lease and brokerage terms, financial figures, acquisition strategy, and project reporting — are confidential to your organization and, where applicable, to its clients.
You must treat all non-public information you access through the Service as confidential, use it only for your authorized business purpose, and not disclose it to any unauthorized person. These obligations are in addition to any separate confidentiality, employment, or engagement agreement between you and your organization.
Orion treats Customer Data as your organization's confidential information and uses it only as described in Section 7 and the Privacy Policy.
7. Ownership and licenses
Orion owns the platform. The Service's software, source code, design, user interface, data model, and documentation are owned by Orion and are protected by intellectual property law. See the Copyright & IP Notice.
Your organization owns its data. All land, ownership, mapping, leasing, brokerage, financial, personnel, and project data entered into, uploaded to, or generated within your organization's workspace, together with the reports, exports, and deliverables produced from it ("Customer Data"), belongs to your organization or to the client on whose behalf your organization holds it. Orion claims no ownership of Customer Data.
What Orion may do with Customer Data. Your organization grants Orion a limited, non-exclusive license to host, store, process, transmit, and display Customer Data solely to operate, secure, support, and maintain the Service for your organization, and to perform its obligations under the Subscription Agreement. Orion does not sell Customer Data, does not disclose it to other Customers, and does not use Customer Data to train machine learning models, nor does it permit its subprocessors to do so.
Aggregate statistics. Orion may compile aggregated, de-identified usage statistics that do not identify your organization, any individual, or any land, owner, or financial record, and may use them to operate and improve the Service.
Your license to use. Subject to these Terms, Orion grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your authorized business purpose while your account is active. No other rights are granted.
Feedback. If you send Orion suggestions about the Service, Orion may use them without restriction or obligation to you.
8. Third-party services and connected systems
The Service integrates third-party services and data sources, including Esri/ArcGIS mapping services and imagery, and may connect to systems your organization operates or subscribes to, such as a self-hosted ArcGIS Server or a land-management system of record.
Those services are governed by their own terms. Orion does not control and is not responsible for third-party data, services, availability, or changes to them. Where your organization supplies credentials to connect a system, your organization is responsible for holding valid rights to that system and its data, and for the accuracy of what it returns.
9. AI-assisted features
Nova may make AI-assisted features available, including Atlas, an in-product assistant. These features are optional, are disabled by default, and may be enabled or disabled by your organization's administrator. They may carry separate charges under the Subscription Agreement.
Where enabled:
- Responses are generated by an AI model and are clearly identified as such. They are not a professional opinion and are subject to Section 5 in full.
- AI output can be wrong, incomplete, or misleading, including where it appears confident. Verify anything you act on. Do not rely on AI output for a transaction, filing, payment, or legal determination without independent review by a qualified person.
- Human oversight is required. AI features assist with navigation, retrieval, and analysis. They do not make decisions, and they do not modify records.
- Requests and the relevant portions of your organization's data are transmitted to a third-party model provider listed in the Subprocessor List, under terms that prohibit training on that data and provide for limited retention.
- Orion may log AI requests for security, abuse prevention, billing, and quality purposes.
10. Pilots, trials, and demonstration environments
Orion may make the Service available for a pilot, trial, proof of concept, or demonstration. Access of that kind is provided "as is" and free of charge unless otherwise agreed in writing, carries no service level commitment and no support commitment, may be modified or withdrawn at any time, and may be deleted at the end of the evaluation period. Section 14 applies to pilot access with the $100 floor as the operative cap.
Do not place production, regulated, or client-confidential data into a pilot environment unless Orion has confirmed in writing that it is provisioned for it.
11. Availability and changes
Orion aims to keep the Service available but, except as committed in a Subscription Agreement or SLA, does not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or reasons beyond Orion's reasonable control, and features may change, be added, or be removed.
12. Suspension and termination
Orion may suspend or terminate your access at any time, including where you violate these Terms, where your organization's subscription ends or falls into non-payment, where your relationship with your organization ends, or where suspension is necessary to protect the Service or its data.
On termination, your license to use the Service ends and you must stop accessing it. Your organization's rights to retrieve Customer Data on termination are governed by the Subscription Agreement; absent one, Orion will make Customer Data available for export for thirty (30) days after termination, after which it may be deleted.
Sections 5 through 9 and 13 through 18 survive termination.
13. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement, to the fullest extent permitted by law.
14. Limitation of liability
To the fullest extent permitted by law, Orion, its members, personnel, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to the Service, even if advised of the possibility.
To the fullest extent permitted by law, Orion's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts paid to Orion for the Service by the organization through which you access it in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15. Indemnification
You will defend, indemnify, and hold harmless Orion, its members, and its personnel from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Service, your disclosure of Service data outside your authorized business purpose, or your violation of law or of any third party's rights.
16. Changes to these Terms
Orion may update these Terms from time to time. Material changes will be indicated by updating the effective date and, where appropriate, by notice within the Service or to your organization's administrator. Continued use after an update means you accept the revised Terms.
17. Governing law and disputes
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. The state and federal courts located in Lafayette Parish, Louisiana will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction and venue.
18. General
These Terms, with the Acceptable Use Policy, Privacy Policy, and Copyright & IP Notice, are the entire agreement between you and Orion about the Service, subject to Section 2. If any provision is held unenforceable, the rest remain in effect. Orion's failure to enforce a provision is not a waiver of it. You may not assign these Terms or your account; Orion may assign them in connection with a merger, acquisition, or sale of assets. Orion may give notice by email to your account address or by posting within the Service; send notices to Orion at hunterbsell@orn-net.com. Neither party is liable for delay caused by events beyond its reasonable control. There are no third-party beneficiaries, except that a Customer's own clients may enforce the confidentiality obligations in Section 6 as to their own data.
